Terms of engagement

These terms govern the use of this website and the general basis on which Nobicel Ltd provides software design, engineering, support and related services. A signed contract for a specific engagement takes precedence over anything on this page.

Scope of work

Every engagement is defined in a written scope agreed before work begins, stating the outcome, the deliverables, the timeline and the price. Work outside that scope is agreed and priced separately in writing.

Client responsibilities

  • Providing timely access to the people, data and systems the work depends on.
  • Nominating someone empowered to make decisions and sign off deliverables.
  • Ensuring the client holds the rights to any data or material it supplies to us.
  • Meeting its own regulatory and statutory obligations, which we support but do not assume.

Intellectual property

On full payment, the client owns the bespoke work produced for its engagement. We retain ownership of our pre-existing tools, libraries and know-how, and grant a perpetual licence to use them as embedded in the delivered system.

Data

Client data remains the client’s. We process it only to deliver the agreed work, in line with our privacy policy, and return or delete it at the end of an engagement on request.

Acceptance and warranty

Deliverables are accepted against the criteria written into the scope. We correct defects reported within the warranty period stated in the contract at no charge. We do not warrant that software is free of every possible defect.

Fees and payment

Fees are as stated in the engagement contract, invoiced against agreed milestones. Support and maintenance are charged separately under their own agreement.

Confidentiality

Each party keeps the other’s confidential information in confidence and uses it only for the engagement. We do not name a client publicly without permission.

Termination

Either party may terminate an engagement on the notice stated in the contract. On termination we hand over work completed to that point, and the client pays for work performed.
